Introduction
These Terms and Conditions (hereinafter referred to as “Terms”) govern the relationship between HLTeams Inc., a staffing company (hereinafter referred to as “Company”), and Virtual Assistants (hereinafter referred to as “Virtual Assistants”) applying for and engaging in virtual assistant services through the Company.
Application Process
2.1 Virtual Assistants interested in working with the Company must complete the Company’s application process, which may include submitting a resume, undergoing interviews, and providing references.
2.2 The company reserves the right to accept or reject applications at its sole discretion without providing any reason.
Engagement
3.1 Upon successful application, the Company may offer Virtual Assistants temporary or permanent virtual assistant positions with Company clients.
3.2 In the event that the Virtual Assistants lose a client due to the end of the contract or other reasons, and so long that Virtual Assistants has no derogator records left to the client; the Company will look for new offers for the Virtual Assistants.Â
3.2 Virtual Assistants are not employees of the Company but are independent contractors.
Compensation
4.1 Virtual Assistants will be compensated based on mutually agreed-upon terms, which will be specified in individual agreements for each engagement, through their direct clients.
4.2 Compensation may vary depending on the nature of the virtual assistant services provided and based on the agreed-upon payment schedule and fees during the onboarding stage with their direct client.
Confidentiality
5.1 Virtual Assistants may have access to sensitive and confidential information. Virtual Assistants must maintain strict confidentiality and not disclose any confidential information to third parties during or after their engagement with the Company.
Non-Compete
6.1 During the term of engagement and for a period of 3 months after the termination of the engagement, Virtual Assistants shall not engage in any competing business or offer virtual assistant services to clients of the Company without the Company’s express written consent.
Termination
7.1 The Company may terminate the engagement at any time, but only with probable cause, and a breach has been proven by both or one of the parties. A written notice is required to the other party.
7.2 Upon termination, Virtual Assistants shall return all materials, documents, and property belonging to the Company or its clients.
Independent Contractor Status
8.1 Virtual Assistants acknowledge that they are independent contractors and not employees of the Company. They are responsible for their own taxes, insurance, and any other legal obligations.
Compliance with Laws
9.1 Virtual Assistants shall comply with all applicable laws and regulations while performing their duties for the Company and its clients.
Dispute Resolution
10.1 Any disputes arising from or related to these Terms shall be resolved through arbitration in accordance with the rules of the National Labor Relations Commission and shall be held in Angeles City Philippines.
Governing Law
11.1 These Terms shall be governed by and construed in accordance with the laws of the National Labor Relations Commission.
Entire Agreement
12.1 These Terms constitute the entire agreement between the Company and Virtual Assistants and supersede all prior agreements, oral or written, with respect to the subject matter hereof.
By applying and accepting virtual assistant positions through the Company, Virtual Assistants acknowledge that they have read, understood, and agreed to these Terms and Conditions.
